Agreement	This Agreement (the "Agreement") is between you and Rematch Holding bv. ("Rematch"). You should read and understand this Agreement before accessing or using this Web site (the "Site"). By accessing or using the Site, you agree to be bound by this Agreement. Rematch provides the information and services on this Site to you, the user, conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Indemnification You hereby agree to indemnify, defend and hold harmless Rematch and its suppliers from and against any and all liability and costs incurred by Rematch in connection with your use of the Site or the Content or in connection with any claim arising out of any breach or alleged breach of any of your obligations set forth herein. You shall cooperate as fully as reasonably required in the defence of any claim brought by third parties which may be covered by the preceding sentence. Rematch reserves the right, at your expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you and you shall not in any event settle any matter involving Rematch that is covered by the first sentence of this Section without the written consent of Rematch. 8. THE TOTAL LIABILITY OF REMATCH HEREUNDER IS LIMITED TO THE AMOUNT, IF ANY, ACTUALLY PAID BY YOU FOR ACCESS AND USE OF THE SITE. YOU HEREBY RELEASE REMATCH FROM ANY AND ALL OBLIGATIONS, LIABILITIES AND CLAIMS IN EXCESS OF THIS LIMITATION. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. 10. Modifications (a) To the Agreement. Rematch has the right to modify this Agreement and any policies affecting the Site. Any modification is effective immediately upon posting to the Site or distribution via electronic mail or conventional mail. Your continued use of the Site following the posting of any modification to this Agreement shall be conclusively deemed an acceptance of all such modification(s). Accordingly, you agree to review the Agreement periodically, and your continued access or use of this Site shall be deemed your acceptance of the modified agreement. Your only right with respect to any dissatisfaction with any modifications made pursuant to this provision, or any policies or practices of Rematch in providing the Site, including without limitation any change in the Content. (b) To the Site. Rematch and its suppliers may make improvements or changes in the information, services, products, and other materials on the Site, or discontinue the Site or any portion thereof at any time, including the availability of any area of the Site. Rematch may also impose limits on certain features and services or restrict your access to parts or the entire Site without notice or liability. 11. General This Agreement constitutes the entire agreement between you and Rematch with respect to the Site and supersedes all prior agreements between you and Rematch. Failure by Rematch to enforce any provision of this Agreement shall not be construed as a waiver of any provision or right. Interpretation and enforcement of this Agreement shall be governed by the laws of the state of New York (excluding its choice of law rules). You consent irrevocably to personal jurisdiction in the federal and state courts of New York County, New York for any action arising out of or relating to your use of the Site or Subscription. The federal and state courts of New York County, New York shall have exclusive jurisdiction over all such actions. In any such action, the prevailing party shall be entitled to recover all legal expenses incurred in connection with the action, including but not limited to its costs, both taxable and non-taxable, and reasonable attorney's fees. In the event that any portion of this Agreement is held unenforceable, the unenforceable portion shall be construed in accordance with applicable law as nearly as possible to reflect the original intentions of the parties, and the remainder of the provisions shall remain in full force and effect. 12. Subscription Payment, Renewal & Termination (a) Each subscription to the Rematch services is for a minimum period of 12 months commencing from the Effective Date as written above. Thereafter, this Agreement shall renew automatically for successive periods of 12 months each. After the initial 12 month period, you may give a minimum of 3 months notice in writing (by fax or post is acceptable) to terminate the Agreement. (b) All subscription payments shall be made annually in full in advance whether online via the Rematch website (www.ir-global.com) or via a raised invoice (though you should understand that no access to the Rematch Services will be granted without cleared funds being received by Rematch). <br> User understands that the access and use of FACTSET LionShares data and system provided by IR Global under the current agreement is strictly restricted to corporate users. The data and system are to be used internally by the (i) the investor relations department of any corporation that has signed a written (including paper or electronic) User Agreement with Licensor prior to accessing the Content or (ii) the employees involved in investor relations functions of any such corporation specifically designated by Licensee to have access to the Client Section and the Content. Financial Institutions, Banks, Fund Managers, Brokers, IR Advisors, PR Firms, Consultants, Stock Exchanges, News Providers, Financial News Portals, Lawyers, Data and Software Providers are not authorized to access and use FACTSET LionShares data and system under the current agreement unless specifically authorized by an officer of FactSet. User agrees not communicate the information or portions of the information to any external party including but not limited to Financial Institutions, Banks, Fund Managers, Brokers, IR Advisors, PR Firms, Consultants, Stock Exchanges, News Providers, Financial News Portals, Lawyers, Data and Software Providers. User agrees to keep passwords, provided to access the site, strictly confidential and individual. Access to site by external consultants is not allowed. Access and use of the data is limited to the term of this agreement. Failure to comply with all terms and conditions hereunder will result in termination of the User Agreement without compensation. The data and system are to be used internally by the (i) the investor relations department of any corporation that has signed a written (including paper or electronic) User Agreement with Licensor prior to accessing the Content or (ii) the employees involved in investor relations functions of any such corporation specifically designated by Licensee to have access to the Client Section and the Content.

Financial Institutions, Banks, Fund Managers, Brokers, IR Advisors, PR Firms, Consultants, Stock Exchanges, News Providers, Financial News Portals, Lawyers, Data and Software Providers are not authorized to access and use FACTSET LionShares-Rematch data and system under the current agreement unless specifically authorized by an officer of FactSet.

User agrees not communicate the information or portions of the information to any external party including but not limited to Financial Institutions, Banks, Fund Managers, Brokers, IR Advisors, PR Firms, Consultants, Stock Exchanges, News Providers, Financial News Portals, Lawyers, Data and Software Providers.
